Terms of Service
Last updated: October 2026
1. Acceptance of Terms
By accessing the Soft Pixel Digital website (softpixeldigital.com) or commissioning services from Soft Pixel Digital (“we”, “us”, “our”), you agree to comply with and be bound by these Terms of Service. If you are entering into this agreement on behalf of a business or legal entity, you represent that you have authority to bind that entity.
2. Scope of Services
Soft Pixel Digital provides technology engineering, custom software development, AI voice agent architecture, CRM systems, e-commerce engineering, branding, and search optimization services. Specific deliverables, milestone schedules, and acceptance criteria are formally detailed in individual Statements of Work (SOW) or written Project Briefs agreed upon prior to project commencement.
3. Intellectual Property Rights
- Client Deliverables: Upon receipt of full payment for completed milestones, all custom code, graphic assets, proprietary software configurations, and bespoke deliverables developed specifically for the client transfer to the client.
- Background IP & Tools: Soft Pixel Digital retains ownership of pre-existing frameworks, reusable utility libraries, design components, and proprietary automation methodologies developed prior to or independently of the client engagement. Clients are granted a perpetual, non-exclusive license to use such background components as embedded within their final deliverables.
4. AI & Voice Agent Implementation Boundaries
While our AI voice agents, LLM integrations, and automated workflows are engineered with rigorous guardrails, test suites, and failover routing, generative AI systems depend on third-party foundational models and telephony networks. Clients acknowledge that automated agents should operate with appropriate human review, escalation protocols, and compliance oversight suited to their industry.
5. Confidentiality & Mutual Non-Disclosure
Both parties agree to protect proprietary technical, commercial, and operational information disclosed during project discovery and execution with the same standard of care used to protect their own sensitive business assets.
6. Warranties & Limitation of Liability
Services are provided with professional care and skill in accordance with current software industry standards. To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, or consequential damages arising out of or in connection with the engagement. Total liability shall not exceed the total fees paid under the specific Statement of Work giving rise to the claim.
7. Inquiries & Legal Notices
If you have questions regarding these Terms or require a formal Statement of Work, please contact our team at info@softpixeldigital.com.
